RidgeRack.ca Terms & Conditions
These Terms & Conditions apply to all quotations, estimates, invoices, products, installations, fabrication services, repairs, custom manufacturing, modifications, and related services provided by Cedric Marina Ltd. operating under the trade name RidgeRack.ca (“Ridge Rack”, “RidgeRack.ca”, “Cedric Marina Ltd.”, “we”, “our”, or “us”).
By requesting a quotation, approving an estimate, paying a deposit, purchasing products, accepting delivery, or engaging our services, the customer (“Client”, “Customer”, or “Purchaser”) agrees to be bound by these Terms & Conditions.
1. Services and Products
RidgeRack.ca specializes in the design, engineering, fabrication, supply, repair, modification, and installation of truck racks, ladder racks, glass racks, over-canopy racks, marine fabrication products, aluminum and stainless steel fabrication, custom metalwork, vehicle accessories, and related products and services.
We will use commercially reasonable efforts to provide products and services in accordance with the accepted quotation, work order, or written agreement.
Estimated completion, installation, and delivery dates are provided for planning purposes only and are not guaranteed unless expressly confirmed in writing.
2. Quotations and Estimates
- All quotations and estimates are valid for thirty (30) days unless otherwise stated in writing.
- Quotations are based on information supplied by the Client at the time of pricing.
- Any changes to project specifications, dimensions, materials, finishes, accessories, vehicle configurations, installation requirements, or scope of work may result in additional charges and revised completion timelines.
- Pricing is subject to applicable taxes unless otherwise stated.
- Errors, omissions, typographical mistakes, or pricing inaccuracies may be corrected by Ridge Rack at any time prior to acceptance.
3. Deposits and Payments
- A non-refundable deposit of sixty percent (60%) of the quoted amount is generally required before fabrication, ordering materials, or scheduling production unless otherwise specified in writing.
- Payment of the deposit constitutes acceptance of the quotation and these Terms & Conditions.
- The remaining balance is due immediately upon completion and prior to release of the product, vehicle, equipment, or project unless otherwise agreed in writing.
- Ridge Rack reserves the right to withhold delivery of products or completion of services until all outstanding amounts have been paid in full.
- Payments may be made by approved payment methods accepted by Ridge Rack from time to time.
4. Late Payments
- Outstanding balances not paid within thirty (30) days of the invoice date shall accrue interest at the rate of 3% per month, compounded monthly.
- The Client shall be responsible for all reasonable collection costs, legal fees, court costs, registration fees, and expenses incurred in collecting overdue accounts.
- Ridge Rack reserves the right to suspend ongoing work or future services until overdue balances are paid.
5. Custom Fabrication
- All custom-fabricated products are built specifically for the Client and are non-refundable once production has commenced.
- Fabrication dimensions are based on measurements supplied by the Client or taken by Ridge Rack at the time of inspection.
- The Client is responsible for reviewing and verifying all specifications, drawings, measurements, and approvals prior to production.
- Ridge Rack shall not be responsible for costs arising from inaccurate measurements, specifications, or information provided by the Client.
6. Vehicle and Equipment Installations
- Clients are responsible for ensuring their vehicle or equipment is in suitable condition for installation.
- Existing damage, corrosion, hidden defects, aftermarket modifications, electrical issues, or structural concerns may affect installation and may result in additional charges.
- Ridge Rack is not responsible for damage resulting from pre-existing conditions, hidden defects, or modifications not disclosed by the Client.
- The Client authorizes Ridge Rack to operate, move, test, and inspect vehicles or equipment as reasonably necessary to perform the requested work.
7. Pickup and Storage
- Completed products, vehicles, trailers, boats, equipment, or fabricated items must be picked up within three (3) business days of notification.
- Storage fees may be charged after this period at rates determined by Ridge Rack based on available space and storage requirements.
- Ridge Rack shall not be liable for theft, loss, weather damage, vandalism, or deterioration of property left beyond the pickup period.
- Ridge Rack reserves the right to pursue any remedies available at law for abandoned property or unpaid storage charges.
8. Warranty
Ridge Rack warrants its workmanship for a period of one (1) year from the date of completion unless otherwise stated in writing.
This warranty does not cover:
- Normal wear and tear
- Cosmetic damage
- Improper use or overloading
- Accidents or collisions
- Corrosion resulting from environmental exposure
- Unauthorized modifications or repairs
- Damage caused by misuse or neglect
Manufacturer warranties on purchased components, accessories, hardware, lighting, tonneau covers, or third-party products remain subject to the manufacturer’s warranty terms.
Warranty does not cover damage caused by exceeding recommended load ratings or improper installation/use by third parties.
Warranty claims must be submitted promptly and Ridge Rack must be given a reasonable opportunity to inspect and remedy any covered defect.
9. Limitation of Liability
- To the fullest extent permitted by law, Ridge Rack’s total liability arising from any claim related to products or services shall not exceed the amount paid by the Client for the specific product or service giving rise to the claim.
- Ridge Rack shall not be liable for indirect, incidental, consequential, special, business interruption, loss of income, loss of profits, loss of use, or other economic damages.
- The Client acknowledges that fabricated products may be subject to load limits, maintenance requirements, and operating conditions beyond Ridge Rack’s control.
10. Security Interest
- The Purchaser grants Cedric Marina Ltd. a security interest under the Personal Property Security Act (British Columbia) in all products supplied and installed until payment has been received in full.
- The Purchaser authorizes Cedric Marina Ltd. to register financing statements as necessary to protect its security interest.
- Acceptance of any quotation, invoice, estimate, work order, or purchase agreement constitutes a security agreement under the Personal Property Security Act of British Columbia.
- Upon default, Cedric Marina Ltd. may exercise all rights and remedies available under applicable law.
11. Intellectual Property
- All designs, drawings, engineering concepts, fabrication details, product images, website content, and marketing materials remain the property of Cedric Marina Ltd. unless otherwise agreed in writing.
- Ridge Rack reserves the right to photograph completed projects and use such photographs for marketing, portfolio, advertising, social media, and promotional purposes, provided no confidential customer information is disclosed.
12. Cancellations
- Deposits are non-refundable once materials have been ordered or fabrication has commenced.
- Cancellation requests received after production has started may be subject to charges for labour performed, materials ordered, engineering, design work, administrative costs, and any non-recoverable expenses incurred by Ridge Rack.
13. Force Majeure
Ridge Rack shall not be liable for delays or failure to perform due to causes beyond its reasonable control, including supply chain disruptions, material shortages, labour disputes, transportation delays, acts of God, extreme weather, government actions, utility interruptions, or other unforeseen events.
14. Governing Law
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of the Province of British Columbia and the laws of Canada applicable therein.
The parties agree that any dispute arising from these Terms & Conditions shall be brought exclusively before the courts located in British Columbia.
15. Entire Agreement
These Terms & Conditions, together with any quotation, estimate, invoice, work order, or written agreement, constitute the entire agreement between the parties and supersede all prior discussions, negotiations, representations, or understandings.
16. Legal Entity
RidgeRack.ca is a trade name and brand operated by Cedric Marina Ltd.
All contracts, invoices, warranties, payments, legal obligations, and services are provided by Cedric Marina Ltd., a corporation incorporated in British Columbia.
Any reference to “Ridge Rack” or “RidgeRack.ca” shall mean Cedric Marina Ltd. carrying on business under that trade name.
17. Severability
If any provision of these Terms & Conditions is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
18. Amendments
Ridge Rack reserves the right to update or modify these Terms & Conditions from time to time. The version in effect at the time a quotation is accepted or services are engaged shall apply unless otherwise agreed in writing.
19. Privacy
Any personal information collected by Ridge Rack will be handled in accordance with applicable privacy laws and used only for purposes related to providing products, services, customer support, billing, and business operations.
20. Website Use
Use of the RidgeRack.ca website is subject to these Terms & Conditions and all applicable laws. Users agree not to misuse the website, interfere with its operation, or attempt unauthorized access to systems or data.
21. Electronic Communications
The Client agrees that quotations, invoices, approvals, notices, and other communications may be provided electronically and that electronic communications shall have the same force and effect as written documents.
22. Acceptance
By accepting a quotation, paying a deposit, purchasing products, authorizing work, or receiving services from Ridge Rack, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
